How to Sell a Closely Held Business Without a Fire Sale

Owners who treat the sale as an event get priced like one. Owners who treat it as a process keep the multiple.

Most owners do not sell a business. They announce one. The difference is the multiple. An announcement invites tire-kickers, rumors in the shop, and a compressed timeline that reads as distress. A managed process invites qualified capital under a confidentiality screen, with a narrative the numbers can defend.

Start with the story the financials will have to prove

Buyers do not purchase nostalgia. They purchase transferable cash flow, customer concentration they can live with, and a management bench that does not vanish on closing day. Before a teaser goes out, we recast earnings, map the top twenty accounts, and write the one-page thesis: why this company, why now, and what a competent operator does in year one.

If the thesis depends on the founder remaining forever, you do not have a sale — you have a job listing with an enterprise value attached. We flag that early, while there is still time to promote a number two or document the playbook.

Confidentiality is not optional on Main Street

Employees hear rumors faster than bankers send term sheets. Vendors tighten terms. Competitors call your best accounts. A proper sell-side engagement uses a blind teaser, a named NDA, and a CIM that is released only after we know who is on the other side of the table.
